Terms of Use

Nudgine provides scheduling, video and audio meetings, Solo Sessions, speech-to-text, AI meeting assistance, notes and documents, recaps, calendar synchronization, organization workspaces, and related billing tools. Features and limits depend on the meeting type, permissions, account, plan, payer, and available capacity.

Current product limits include up to five total participants in a hosted video or audio meeting, a maximum live duration of three hours for hosted meetings and Solo Sessions, and no more than three overlapping Nudgine meetings for a host. External calendar events do not count as Nudgine meetings. We may use reasonable safeguards and usage limits to protect the Services and other users.

You must be at least 18 years old and legally able to enter this agreement. You must provide accurate information, keep it current, protect your credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account unless caused by Nudgine's breach of these Terms.

You may sign in with email credentials or a supported Google account. Google-only accounts do not need a Nudgine password. You may not transfer your personal account, impersonate another person, create accounts through unauthorized automation, or use another person's credentials.

Guests may join an invited meeting without receiving general account or organization access. An organization guest can see only the organization name, guest status, and a leave action unless separately invited to a meeting or granted a permitted role.

Consent and lawful participation

Each participant must review and affirmatively accept Nudgine's meeting consent notice before transcription begins. You must comply with all laws and obligations governing meeting invitations, notice, confidentiality, monitoring, transcription, and consent. You may not bypass consent controls, join under a false identity, or use Nudgine to capture a conversation you are not authorized to attend.

Nudgine does not offer cloud audio or video recording. Live media is transmitted to deliver video and audio rooms. The current end-user speech-recognition flow processes microphone audio locally in the participant's browser. If an optional hosted-meeting cloud transcription mode is later enabled and presented in the consent flow, short audio clips may be transmitted solely for speech-to-text as described in the Privacy Policy. Transcript text and derived artifacts may be retained under that Policy.

Hosts, ownership, and billing source

A host controls the meeting subject to participant rights and organization policy. A future meeting host may request a transfer to one recipient. The current host remains responsible until the recipient accepts, and an unaccepted future transfer expires when the meeting begins. Any live host-transfer feature must complete its permission checks before the new host receives control.

Transferring host control does not silently transfer billing. The new host must select an eligible billing source before starting or continuing features that consume capacity. Existing meeting documents remain attached unless the transferring host expressly removes them, and the parties must expressly choose whether an existing permitted billing account remains or is removed. A recorded organization payer cannot be reassigned to an unrelated individual merely through host transfer.

Access modes and private features

A restricted meeting is available only to the host and currently authorized invitees. Revoking an invitation or removing a participant may end live or recap access according to the meeting's state and the actor's permissions. For a meeting set to “Anyone with the link,” canceling one person's invitation removes invited status but does not by itself block the live access available to other link holders. A host may still remove an active participant, and authorized managers may revoke that person's access to an ended recap. Revocation cannot retract information the person already saw or lawfully exported.

Private Notes, Scratch Notes, personal documents, and personal Nudgine Bots remain private unless a separately available feature or applicable organization permission allows access. Personal-bot view and chat sharing is currently unavailable; the sharing controls may be displayed as a disabled preview but do not grant another participant access. When the owner leaves a hosted room, that personal bot stops and must be restarted by the owner after rejoining. A Solo Session includes the owner's personal bot, which remains on while the session is active.

Transcript, recap, document, and note permissions are independent. Users are responsible for selecting appropriate permissions and for content they choose to share.

Capacity and Capacitors

A “Capacitor” is a service-capacity unit, not money, property, a deposit, or stored value. One Capacitor currently provides 1,200 capacity minutes, which is equivalent to up to five video participant-hours or up to twenty audio or personal-bot hours under the current consumption rates. Video use is measured by participant time, so a room with more participants uses capacity faster. The selected hosted-room payer is charged the sum of every participant's confirmed connected time at one capacity minute per audio participant-minute or four capacity minutes per video participant-minute. The host alone sees the reconstructed final room total. Each participant's personal bot is metered separately to that participant's eligible personal or organization allowance while active, including the host's bot. A Solo Session consumes one capacity minute per active minute and includes its required, always-on personal bot; it has no separate hosted-room charge. Usage is settled in capacity seconds, while recap summaries may round a displayed total up to the next whole audio-equivalent minute. Actual use depends on connected durations, meeting type, and enabled AI features. Capacity cannot be redeemed for cash, resold, or transferred except through the organization-allocation features described below.

Personal Pro subscriptions

A personal Pro plan may include between one and six recurring Capacitors. The current standard price is $9 per Capacitor each month or $86 per Capacitor each year, as confirmed at checkout. Monthly subscriptions grant and reset included capacity on each monthly renewal. Annual subscriptions charge annually and grant the entire annual included capacity up front, then reset it at the annual renewal. Unused subscription capacity does not roll over to a new billing period.

Subscriptions automatically renew and Stripe charges the payment method on file until canceled. You authorize recurring charges, including applicable taxes shown at checkout. You may cancel through the available billing controls; cancellation takes effect at the end of the current paid period. Upgrades apply after successful payment. Downgrades take effect at renewal and do not claw back capacity already granted for the current period. We will provide legally required notice of material price changes before they apply to a renewal.

One-time personal test capacity

An eligible verified email address may receive one personal test grant of 1,800 capacity seconds. Under current rates, that is up to thirty audio participant-minutes, Solo Session minutes, or personal-bot minutes, or 7.5 video participant-minutes. Email matching trims whitespace and ignores letter case. The grant is not a subscription, has no cash value, is non-transferable, and does not provide storage, seats, or other Pro subscription entitlements.

The grant does not expire while the eligible personal account remains open, but any unused amount is immediately and permanently forfeited when a personal Pro subscription or personal capacity purchase is successfully paid. It is also forfeited on permanent account deletion. Canceling or refunding a purchase, deleting and recreating an account, changing email letter case, or changing an account email does not restore or create additional test capacity. We may withhold or revoke test capacity where reasonably necessary to prevent abuse.

Personal one-time refills

An eligible personal Pro user whose active meeting has exhausted subscription and refill capacity may purchase one-time refill Capacitors. The current price is $15 each, with one to six available per purchase. Refill capacity is used after subscription capacity and does not expire while the personal account remains open. It does not replace or extend the recurring subscription.

Organization capacity

Organizations may purchase one-time Capacitors at the current price of $15 each, with one to ten units per checkout and no fixed organization lifetime maximum. Organization capacity does not expire while the organization exists. Only the owner and authorized administrators may purchase it. Purchased units enter an organization pool and must be allocated to an individual member, including the owner, before that member can spend them.

Organization allocations are manual and non-expiring while the organization exists. Separate permissions determine whether a member may spend capacity for a hosted room or for that member's personal bot. When a member selects an organization as payer, hosted-room usage reduces that member's allocation. Each authorized participant's personal bot independently reduces that participant's allocation. Members can see their own authorization and remaining allowance; the owner and authorized administrators can see the organization pool and usage.

If an allocation is exhausted, removed, or revoked, new organization-funded usage is paused or requires another eligible payer. A change committed while a room is active may be honored for a short settlement buffer needed to reconcile already authorized usage, but it does not create additional capacity. Removing a member immediately ends organization permissions and future organization-funded bot use; it does not eject the person from a meeting already in progress.

Refunds, reversals, and failed payment

Except where required by law or expressly approved by Nudgine for a verified service failure, recurring charges are non-refundable and we do not provide prorated refunds for partial billing periods. One-time refill and organization capacity purchases are final sale. If a payment is refunded, reversed, disputed, or fraudulent, we may freeze or remove the unused capacity associated with that payment, but we will not create a negative capacity balance solely from the reversal. Failed payment may pause paid features or prevent renewal.

Unused personal capacity, including test capacity, is forfeited without refund when the personal account is permanently deleted. Unused organization capacity remains available during the organization's 48-hour deletion period and is forfeited without refund only when the organization is permanently deleted.

Membership and roles

A user may belong to up to ten accepted organizations, and an organization may have up to one hundred accepted members. An organization has one Owner and may include Admins, Members, and Guests. Only the Owner may appoint, demote, or remove an Admin or transfer organization ownership. An invited recipient must accept an ownership transfer before it takes effect.

The Owner and authorized Admins may invite users, manage Members and Guests, create and edit permission groups, allocate capacity, and manage organization content as their permissions allow. An Admin may not change another Admin's spending limit. The Owner's allowance may be unlimited or self-limited, and an Admin may not alter it. Invitations expire after 24 hours, are single-use, and grant no access until accepted.

Groups and permissions

A Member may belong to one custom group. An organization may maintain up to twenty custom groups. Group permissions provide defaults; individual permissions override the group. Guests do not receive organization permissions or capacity merely by being invited or accepted. Documented organization permissions may include configuring eligible bot settings; viewing or deleting transcripts; accessing documents or notes; hosting rooms; and spending capacity for rooms or personal bots.

Administration and audit records

Owners and authorized Admins may access organization documents and an audit log of purchases, usage, permission changes, role changes, invitations, removals, and document-access changes. Audit entries are designed to record the event rather than meeting or document content. They cannot be edited or erased while the organization exists and may be exported by authorized administrators.

Organization content and member departure

Content created for or transferred to an organization is controlled by the organization, not by an individual member's personal account. If a member leaves, is removed, or deletes a personal account, the organization may retain its documents, meetings, and shared records; the former member's access is revoked and identity traces may be anonymized. Personal content does not become organization content merely because its owner joins an organization or selects an organization allowance for an eligible feature.

Owners and administrators act for the organization and are responsible for lawful invitations, role assignments, permissions, allocations, content access, and organizational notices. Nudgine is not responsible for an authorized administrator's choices made within the permissions granted by the organization.

Integrations with Google Calendar, Google Drive, Notion, Stripe, and other providers are optional and are also governed by the provider's terms. You authorize Nudgine to access and process provider data within the scopes and actions you approve. You represent that you have the right to connect the account and import or synchronize its content.

Google Calendar access lets Nudgine read events on selected calendars you can access, but create, update, and delete events only on calendars you own. Shared calendars are read-only in Nudgine even if Google otherwise gives you an editor role. Connecting Google Calendar does not automatically publish existing Nudgine meetings. When an eligible owned calendar is connected, the Schedule Meeting form defaults “Add to Google Calendar” on; you may turn it off before scheduling. Scheduling with that setting enabled or later choosing an add/link action authorizes the applicable creation and synchronization. Deselecting a calendar hides its events in Nudgine and does not delete them from Google. If a linked event is removed in Google, Nudgine may retain the local meeting until the host chooses to continue without the Google link, recreate the Google event, or cancel the Nudgine meeting; an active Nudgine room is not interrupted by that provider-side deletion. An invited user may add a private Google Calendar copy after accepting a meeting; removing that attendee, canceling the invitation, or canceling the meeting may also remove the corresponding Nudgine-created private copy. The Google Drive integration requests per-filedrive.file authorization. Connecting it does not automatically import file contents, and Nudgine uses the granted access to read a file only after you expressly select it through Google Picker. That import creates a Nudgine copy. Personal copies may be synchronized again at your request. If you have the required organization permission, you may instead import an organization-owned snapshot. Organization snapshots do not automatically synchronize, remain after the importer leaves or disconnects the personal integration, and do not expose that member's personal source link to other members. Notion imports follow the same ownership model. Nudgine does not edit or delete the source Drive file or Notion page.

By importing a supported document, you direct Nudgine to create and store a copy in the personal account or organization Docs library you select and to extract and analyze its contents for summaries, keywords, search indexes, and AI context used by Nudgine features. Personal imports and information generated from them remain private unless you choose to share them. Organization snapshots follow the organization's document and feature permissions. An authorized user may delete an imported document and its extracted and generated data through the Docs controls, subject to limited backup, security, legal, and dispute-retention requirements. Deletion from Nudgine does not delete or alter the provider's source document.

A host may expressly add an organization-associated meeting to that host's personal Google Calendar. This does not create an organization-owned integration or give the organization or its other members access to the host's calendars, connection details, provider identifiers, or credentials. If another user accepts a future transfer of hosting, the prior host's Google event is kept but detached from Nudgine synchronization, and the new host may add the meeting through their own personal connection.

Disconnecting an integration ends future access and removes local integration data as described in the Privacy Policy. Disconnecting Calendar removes its connection tokens and cached Google calendar records and refreshes Nudgine's calendar and meeting views while retaining Nudgine meetings and completed recaps. It does not delete source data held by the provider except where an applicable meeting, invitation, or calendar deletion action expressly removes a Nudgine-created Google event. Third-party outages, changes, revoked permissions, or provider enforcement may interrupt an integration. Nudgine is not responsible for third-party services, though we remain responsible for our own handling of connected data.

AI features may process transcript text, prompts, selected meeting context, documents, configurations, and prior outputs to produce nudges, chat responses, summaries, decisions, action items, and other artifacts. Output is generated probabilistically and may be incomplete, inaccurate, offensive, or unsuitable for your circumstances. Nudgine does not use meeting content, transcripts, prompts, chats, notes, imported documents, connected-service data, or generated artifacts to train, fine-tune, or improve artificial-intelligence or machine-learning models. We do not opt in to provider programs that use Nudgine API inputs or outputs for model training, and we do not intentionally send customer content to a provider program that requires such training use. Processing content with an existing model to provide a requested feature does not train that model. Our AI providers' handling of API inputs is described in the Privacy Policy.

You must independently review AI output before relying on it. Nudgine does not provide legal, medical, financial, employment, or other professional advice, and AI output must not be used as the sole basis for a high-impact decision about another person. You are responsible for having the rights and permissions needed to submit content to AI features and for your use or sharing of output.

Your content

As between you and Nudgine, you retain ownership of content you lawfully submit to your personal account. An organization or its customer retains control of content submitted to or designated as organization content, subject to the rights of the underlying contributors and applicable law. You grant Nudgine a worldwide, non-exclusive, limited license to host, copy, transmit, process, display, and create service-generated derivatives of content only as needed to provide, secure, and improve the Services, comply with law, and exercise our rights under these Terms. This license does not authorize Nudgine to use your content to train, fine-tune, or improve artificial-intelligence or machine-learning models.

You represent that you have the rights and lawful basis to submit content and grant the permissions you select. You remain responsible for content and for ensuring that sharing, transcription, document import, and AI processing do not violate another person's privacy, confidentiality, intellectual-property, employment, or other rights.

Nudgine materials

Nudgine and its licensors own the Services, software, interfaces, designs, trademarks, documentation, and other materials we provide, excluding your content. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Services for your personal or internal business purposes. No other rights are granted by implication.

Feedback

If you provide feedback, you grant Nudgine a perpetual, worldwide, royalty-free right to use it without restriction or compensation, provided we do not publicly identify you as its source without permission.

You may not use the Services to:

• violate law or another person's rights, privacy, or confidentiality;
• record, transcribe, monitor, or impersonate someone without required authority;
• upload malware, exploit vulnerabilities, evade security, or disrupt the Services;
• access another account, organization, meeting, bot, document, or transcript without permission;
• harass, threaten, defraud, discriminate, or facilitate illegal or harmful activity;
• scrape, reverse engineer, or automate access except as law permits or we authorize;
• resell, sublicense, transfer, or manipulate capacity, invitations, or subscriptions;
• send spam or use the Services for targeted advertising based on meeting content; or
• submit content that infringes intellectual-property or other rights.

We may investigate suspected violations and preserve or disclose information when reasonably necessary for security, enforcement, or legal compliance.

Our Privacy Policy explains our data practices and is incorporated into these Terms. Our Cookie Policy explains cookies, local storage, analytics, and related technologies. If you use the Services for an organization, you are responsible for providing any additional notices and obtaining any additional consents that organization lawfully requires.

We work to keep the Services available but do not promise uninterrupted or error-free operation. Maintenance, internet or provider failures, capacity limits, security incidents, legal requirements, and events outside our reasonable control may cause delay or interruption. We may modify or discontinue features, but will provide notice when required by law and will not retroactively take paid capacity already granted except as these Terms allow for fraud, refunds, disputes, enforcement, or deletion.

We may update these Terms. Material changes will be communicated through the Services, email, or another legally sufficient method before they take effect when required. Continued use after the effective date constitutes acceptance; if you do not agree, you must stop using the Services and may cancel before the change takes effect.

You may stop using Nudgine at any time. We may limit or suspend access when reasonably necessary to protect users or the Services, investigate abuse, address nonpayment, comply with law, or enforce these Terms. We may terminate access for a material or repeated violation, subject to notice where appropriate and legally permitted.

Personal account deletion is scheduled for 24 hours after the required confirmation notice and can be canceled before processing starts. You must first disconnect integrations and transfer organizations you own. Permanent deletion cancels active personal subscriptions, removes personal data as described in the Privacy Policy, and forfeits unused personal capacity, including test capacity, without refund. Organization-controlled records may remain with the organization after a member's deletion, with that member's access revoked and identifying traces removed or anonymized where appropriate.

An organization Owner may schedule organization deletion with a 48-hour cancellation period. Active meetings may finish, but new purchases, allocations, or organization-funded starts may be restricted. At permanent deletion, organization permissions, meetings, transcripts, documents, and remaining capacity are removed or forfeited without refund. The Owner must resolve ownership transfer instead of deleting the organization when continued organizational custody is required.

Provisions that by their nature should survive termination—including ownership, payment obligations already incurred, disclaimers, liability limitations, indemnification, dispute terms, and lawful retention—will survive.

To the maximum extent permitted by law, the Services are provided “as is” and “as available.” Nudgine disclaims all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted availability. We do not warrant that transcripts, AI output, integrations, reminders, calendar synchronization, or recaps will be complete, accurate, timely, or error-free.

Some jurisdictions do not allow certain warranty disclaimers, so some of the above may not apply to you. Nothing in these Terms excludes rights that cannot lawfully be waived.

To the maximum extent permitted by law, Nudgine and its officers, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption, arising from the Services, even if advised of the possibility.

To the maximum extent permitted by law, the total liability of Nudgine and those parties for all claims arising out of or relating to the Services or these Terms will not exceed the greater of one hundred U.S. dollars ($100) or the amount you paid to Nudgine during the six months before the event giving rise to the claim.

These limits do not apply where prohibited by law or to liability that cannot lawfully be limited.

To the extent permitted by law, you will defend, indemnify, and hold harmless Nudgine and its officers, employees, contractors, and affiliates from third-party claims, losses, and reasonable expenses arising from your content, your unlawful use of the Services, your violation of these Terms, your infringement of another person's rights, or your failure to obtain required meeting or data-processing consent. This obligation does not apply to the extent a claim results from Nudgine's own breach, negligence, or willful misconduct.

Utah law governs these Terms without regard to conflict-of-law rules. Before filing a formal claim, you and Nudgine agree to attempt in good faith to resolve the dispute for at least 30 days after written notice describing the issue and requested relief.

If the dispute is not resolved, it will be finally resolved by binding individual arbitration administered by the American Arbitration Association under its applicable Consumer or Commercial Arbitration Rules. Arbitration will take place in Utah County, Utah, remotely, or at another mutually agreed location. The Federal Arbitration Act governs this provision. Claims may be brought only individually, not as a plaintiff or class member in a class, collective, consolidated, or representative action.

Either party may bring an eligible individual claim in small-claims court and may seek temporary or injunctive relief in court to protect intellectual property, security, privacy, or unauthorized access. If the arbitration or class waiver is unenforceable for a particular claim, that claim will be heard exclusively in the state or federal courts located in Utah County, Utah, and the parties consent to jurisdiction there. Nothing limits rights that applicable consumer law makes non-waivable.

These Terms, the Privacy Policy, the Cookie Policy, checkout terms, and any other terms expressly presented for a feature are the entire agreement about the Services. If a specific checkout or enterprise term conflicts with these Terms, the more specific term controls for that subject. Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remainder will continue.

You may not assign these Terms without our written consent. We may assign them in connection with a merger, reorganization, financing, acquisition, or sale of assets. We are not liable for delay caused by events beyond our reasonable control. Headings are for convenience, and electronic notices and signatures satisfy writing requirements to the extent permitted by law.
